Waiver & Release of Claims

You desire to and willingly participate in the ValuSignal Virtual Event ("Event") hosted by ValuSignal, LLC, a Texas limited liability company ("ValuSignal"). In consideration of being permitted to attend and participate in the Event, and in recognition of ValuSignal's reliance hereon, you agree to the terms and conditions set forth in this agreement ("Release").

ASSUMPTION OF RISK

YOU ACKNOWLEDGE THAT YOU ARE VOLUNTARILY PARTICIPATING IN A VIRTUAL EVENT AND THAT YOUR PARTICIPATION INCLUDES RISKS ASSOCIATED WITH ONLINE PLATFORMS, INCLUDING BUT NOT LIMITED TO TECHNICAL DIFFICULTIES, INTERNET CONNECTIVITY ISSUES, PLATFORM OUTAGES, UNAUTHORIZED ACCESS, DATA SECURITY RISKS, AND POTENTIAL EXPOSURE TO INAPPROPRIATE OR OFFENSIVE CONTENT FROM OTHER PARTICIPANTS. YOU HEREBY KNOWINGLY AND FREELY AGREE TO ACCEPT AND ASSUME ALL RISKS ASSOCIATED WITH OR ARISING FROM YOUR ATTENDANCE AT THE EVENT, WHETHER CAUSED BY THE NEGLIGENCE OR CONDUCT OF VALUSIGNAL OR ANY RELEASEE HEREUNDER.

RELEASE AND WAIVER

YOU HEREBY EXPRESSLY WAIVE AND RELEASE ANY AND ALL CLAIMS, AND DEMANDS OF WHATEVER KIND OR NATURE NOW KNOWN OR HEREAFTER KNOWN, AGAINST VALUSIGNAL, LLC, AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SPONSORS, VENDORS, SPEAKERS, AND PLATFORM PROVIDERS (COLLECTIVELY, "RELEASEES"), EITHER IN LAW OR EQUITY, AND THAT THIS RELEASE IS INTENDED TO BE AS BROAD AND INCLUSIVE TO THE FULLEST EXTENT PERMISSIBLE BY LAW, INCLUDING BUT NOT LIMITED TO DAMAGES OR LOSSES CAUSED BY THE NEGLIGENCE, FAULT OR CONDUCT OF ANY KIND ON THE PART OF THE RELEASEES, INCLUDING BUT NOT LIMITED TO ECONOMIC LOSS, REPUTATIONAL HARM, DATA LOSS, PRIVACY BREACHES, OUT OF POCKET EXPENSES, OR LOSS OR DAMAGE TO PROPERTY ARISING OUT OF OR ATTRIBUTABLE TO YOUR PARTICIPATION IN AND ATTENDANCE AT THE EVENT, WHETHER CAUSED BY OR ARISING OUT OF THE NEGLIGENCE, FAULT OR CONDUCT OF ANY KIND OF VALUSIGNAL OR ANY RELEASEES. YOU COVENANT NOT TO MAKE OR BRING ANY CLAIM YOU, YOUR HEIRS, ASSIGNEES, NEXT OF KIN AND/OR LEGALLY APPOINTED OR DESIGNATED REPRESENTATIVE, MAY HAVE OR WHICH MAY HEREINAFTER ACCRUE ON YOUR BEHALF AGAINST VALUSIGNAL OR ANY RELEASEE, AND FOREVER RELEASE AND DISCHARGE VALUSIGNAL AND ALL RELEASEES FROM LIABILITY FOR SUCH CLAIMS.

CONTENT AND CONDUCT STANDARDS

You acknowledge and agree that:

  • No Liability for Third-Party Content: ValuSignal is not responsible for and does not endorse any statements, opinions, advice, or content expressed by speakers, panelists, moderators, or other participants during the Event. All such content represents the views of the individual speaker or participant and not those of ValuSignal.
  • Prohibition on Defamatory Conduct: You agree not to make any false, defamatory, libelous, slanderous, disparaging, or otherwise unlawful statements about any person, company, organization, or entity during your participation in the Event. You acknowledge that such conduct may expose you to civil and criminal liability.
  • Professional Conduct: You agree to conduct yourself in a professional manner and to refrain from harassment, discrimination, hate speech, threats, or any other conduct that ValuSignal deems inappropriate or disruptive.
  • Compliance with Laws: You agree to comply with all applicable federal, state, and local laws, including but not limited to laws governing defamation, privacy, intellectual property, and professional conduct.
  • Right to Remove: ValuSignal reserves the right to immediately remove any participant from the Event, without refund, for violation of these standards or any conduct ValuSignal deems inappropriate.

INDEMNIFICATION FOR PARTICIPANT STATEMENTS AND CONDUCT

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS VALUSIGNAL AND ALL OTHER RELEASEES AGAINST ANY AND ALL CLAIMS, ACTIONS, SUITS, PROCEDURES, COSTS, EXPENSES, DAMAGES, LIABILITIES, LOSSES, AND EXPENSES OF WHATEVER KIND, INCLUDING ATTORNEY FEES AND COURT COSTS, BROUGHT BY ANY THIRD PARTY ARISING FROM OR RELATED TO:

  • ANY STATEMENTS, COMMENTS, OPINIONS, OR CONTENT YOU EXPRESS OR SHARE DURING THE EVENT;
  • ANY DEFAMATORY, LIBELOUS, SLANDEROUS, OR DISPARAGING STATEMENTS YOU MAKE ABOUT ANY PERSON, COMPANY, ORGANIZATION, OR ENTITY;
  • ANY VIOLATION OF ANOTHER PARTY'S INTELLECTUAL PROPERTY RIGHTS, PRIVACY RIGHTS, OR OTHER LEGAL RIGHTS;
  • YOUR VIOLATION OF ANY APPLICABLE LAWS, REGULATIONS, OR THIRD-PARTY RIGHTS;
  • YOUR BREACH OF THIS RELEASE OR ANY EVENT POLICIES; OR
  • YOUR CONDUCT OR BEHAVIOR DURING THE EVENT.

This indemnification obligation shall survive the termination of the Event and your participation therein.

INTELLECTUAL PROPERTY AND RECORDING

You acknowledge and agree that:

  • ValuSignal Content: All content provided by ValuSignal, including presentations, materials, recordings, and trademarks, is the property of ValuSignal or its licensors and is protected by intellectual property laws.
  • Recording Prohibition: You may not record, screenshot, or capture any portion of the Event without express written permission from ValuSignal.
  • Grant of Rights: By participating in the Event, you grant ValuSignal a perpetual, worldwide, royalty-free license to use, reproduce, and distribute any content you submit or share during the Event, including your name, likeness, voice, and statements.
  • ValuSignal Recording Rights: ValuSignal may record the Event and you consent to such recording and to the use of your participation in such recordings for promotional, educational, or commercial purposes.

DISCLAIMER OF WARRANTIES

VALUSIGNAL PROVIDES THE EVENT ON AN "AS IS" AND "AS AVAILABLE" BASIS. VALUSIGNAL MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. VALUSIGNAL DOES NOT WARRANT THAT THE EVENT WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. VALUSIGNAL DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION PRESENTED AT THE EVENT.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VALUSIGNAL OR ANY RELEASEE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, REPUTATION, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR PARTICIPATION IN THE EVENT, EVEN IF VALUSIGNAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THIRD-PARTY PLATFORMS

The Event may be hosted on third-party platforms (such as Zoom, Microsoft Teams, or similar services). You acknowledge that your use of such platforms is subject to their respective terms of service and privacy policies, and ValuSignal is not responsible for the performance, security, or data practices of such third-party platforms.

GENERAL PROVISIONS

This Release constitutes the sole and entire agreement of ValuSignal and you with respect to the subject matter contained herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. If any term or provision of this Release is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability will not affect any other term or provision of this Release or invalidate or render unenforceable such term or provision in any other jurisdiction. This Release is binding on and shall inure to the benefit of ValuSignal and the Releasees and you and your heirs, executors, administrators, and assigns. All matters arising out of or relating to this Release will be governed by and construed in accordance with the laws of the State of Texas without giving effect to any choice or conflict of law provision or rule. Any claim or cause of action arising under this Release may be brought only in the federal and state courts located in Collin County, Texas and you hereby consent to the exclusive jurisdiction of such courts.

ACKNOWLEDGMENT

BY REGISTERING FOR, ATTENDING, AND/OR PARTICIPATING IN THE EVENT, YOU ARE DEEMED TO HAVE GIVEN A FULL RELEASE OF LIABILITY TO THE RELEASEES TO THE FULLEST EXTENT PERMITTED BY LAW. BY CLICKING "I AGREE" OR BY PARTICIPATING IN THE EVENT, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD ALL OF THE TERMS OF THIS RELEASE AND THAT YOU ARE VOLUNTARILY GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE VALUSIGNAL AND THE RELEASEES. YOU FURTHER ACKNOWLEDGE THAT YOU WILL BE PERSONALLY LIABLE FOR ANY DEFAMATORY OR UNLAWFUL STATEMENTS YOU MAKE DURING THE EVENT.
